Terms of Service
The terms governing your use of Niravi.
1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the Niravi platform and related websites, applications, and APIs (the "Service") provided by Niravi Inc. ("Niravi", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2. Description of service
Niravi is a video intelligence platform that enables search, recall, and analysis over video and related media. The Service may evolve over time, and we may add, modify, or discontinue features at our discretion.
3. Accounts and eligibility
To use certain features you must create an account. Authentication is provided through Auth0 (Okta). You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and promptly update it as needed. You must be of the age of majority in your jurisdiction, or have the consent of a parent or guardian, to use the Service.
4. Acceptable use
You agree not to use the Service to:
- upload, store, or process content that is illegal, infringing, or that you do not have the right to submit;
- violate the intellectual property, privacy, or other rights of any person;
- abuse, disrupt, overload, or attempt to gain unauthorised access to the Service or its systems;
- reverse engineer or circumvent any security or access controls except as permitted by law;
- use the Service to develop a competing product, or in any manner that violates applicable law.
5. User content and licence
You retain all ownership of the content you upload to the Service ("User Content"). You grant Niravi a limited, non-exclusive, worldwide licence to host, store, process, transcribe, index, and analyse your User Content solely for the purpose of providing and improving the Service to you, and as otherwise described in our Privacy Policy. This licence ends when you delete the relevant User Content or close your account, subject to routine backup retention. You are responsible for ensuring you have the rights necessary to submit your User Content.
6. Intellectual property
The Service, including its software, models, design, and branding, is owned by Niravi Inc. and protected by intellectual property laws. Except for the rights expressly granted to you in these Terms, no rights in the Service are transferred to you. "Niravi" and associated logos are marks of Niravi Inc.
7. Fees and subscriptions
Some features are offered on paid subscription plans. Current plans, features, and prices are shown on our pricing page and confirmed at checkout. Paid subscriptions renew automatically for the same term unless cancelled before the renewal date; fees are stated exclusive of applicable taxes and are non-refundable except where required by law. Where the Service is offered for a fee, applicable pricing and payment terms will be presented to you before you purchase, and you authorise us (or our payment processor) to charge the fees you agree to.
8. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that analysis outputs will be accurate or complete. You are responsible for evaluating the suitability of any output for your purposes.
9. Limitation of liability
To the maximum extent permitted by law, Niravi Inc. and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service. Our aggregate liability for any claim relating to the Service is limited to the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or, where the Service was provided free of charge, US$100.
10. Indemnity
You agree to indemnify and hold harmless Niravi Inc. and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, or your breach of these Terms or of applicable law.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ceases, and we may delete your User Content in accordance with our retention practices. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnity) will survive.
12. Governing law and jurisdiction
These Terms are governed by, and construed in accordance with, the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The courts located in the State of Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
13. Changes to terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
